At Cyberonics, we understand that the real value in conducting our business in an honest and ethical manner is the trust it allows us to build with patients, customers, and the public. The employees of Cyberonics shall comply with all applicable laws and regulations in the United States, as well as the laws and regulations in any other country in which our Company does business. We shall also adhere to the highest standards of business ethics and comply with the written letter of the law, as well as the spirit of the law.

Many changes in laws and regulations that affect interactions between our industry and healthcare providers have occurred recently. Cyberonics has adopted and supports the AdvaMed ethical code and remains involved in helping to update and maintain this important industry code. Cyberonics supports transparency and efforts to ensure that healthcare professionals make independent decisions that are in the best interest of patients and their families. Selection of medical devices should be based solely on their effectiveness, quality, and value. 

Certain state governments, and beginning in 2013, the federal government, require pharmaceutical, biologic, and medical device manufacturers to provide an annual report to a governmental agency regarding a wide variety of financial interactions that pharmaceutical and medical device companies have with certain healthcare professionals licensed by that government. Cyberonics is required by law to report many types of direct and indirect payments and other transfers of value to licensed healthcare professionals. This generally includes the name of the contracting party, the purpose of the payment, the amount and nature of any payments made, and other information about the payment.
